These Vendor Partner Terms ("Vendor Terms") apply to any business that sells products in the Zyken Store. They are an agreement between the vendor business ("you") and Zenthrive Studios, Godawari-11, Lalitpur, Nepal ("Zyken"). They apply together with our Terms of Service, Privacy Policy and Refund & Cancellation Policy. If they conflict on a store matter, these Vendor Terms prevail. The person who accepts these terms confirms they are authorised to bind the business.
1. Your relationship with Zyken
- You are an independent seller. You are the seller of the products you list, and you are responsible for them. Zyken operates the marketplace, collects payments as your limited collection agent, and provides order, shipment and payout tools.
- Nothing in these terms makes you Zyken's employee, agent or partner.
2. Verification
- Apply through the Zyken web portal with your business name, PAN/VAT number (and a copy of your PAN/VAT certificate), contact phone and email, business address, the categories you will sell (supplements, equipment, apparel), and your distributor or dealer licence number, a copy of the licence and its expiry date.
- Review: Zyken checks your documents and may ask for more, such as company registration, food/supplement import or distribution permits, or brand authorisation letters. We may reject an application with a reason.
- Approval: once approved, your vendor account is created and you can list products.
- Keep it current: upload a renewed licence before the current one expires. We may pause your listings if a licence has expired or cannot be verified.
3. Product listings and catalogue review
- Every new product is reviewed by Zyken before it goes live, and we may review changes. We may reject, pause or remove a listing, with a note explaining why.
- Listings must be accurate and complete: product name, brand, variant (flavour, size, weight), price, images of the actual product, ingredients and nutrition facts for consumables, usage directions, warnings, country of origin and, for supplements, relevant registration details.
- Do not make false or misleading claims, especially health claims (for example, "cures diabetes" or "guaranteed 10 kg in a week").
- Keep stock levels accurate. Stock is reserved when a customer checks out. Do not list products you cannot supply.
4. Authenticity and the "Verified Authentic" badge
Zyken may give a brand or product the "Verified Authentic" badge after checking its supply chain. To sell products with the badge, and in any case for all branded products, you must:
- source products only from the brand owner or its authorised distributor or importer in Nepal;
- keep purchase invoices, import documents (such as customs declarations) and authorisation letters for at least 7 years, and give them to Zyken within 3 business days of a request;
- sell only genuine, sealed, in-date products in their original manufacturer packaging, with safety seals intact;
- never sell counterfeits, grey-market or parallel imports that are not authorised for Nepal, expired or near-expiry products (unless clearly disclosed and approved by Zyken), or re-packed, re-labelled or decanted products.
If we find or reasonably suspect a breach, we may remove the badge, delist the products, suspend your account, refund affected customers at your cost, and report the matter to the authorities.
5. Prohibited products
You must not list or sell:
- anabolic steroids, testosterone and other hormones, SARMs, peptides or growth hormone;
- prohibited stimulants such as DMAA, DMHA, ephedra/ephedrine or sibutramine, and any substance banned in Nepal;
- prescription drugs or medicines of any kind, including weight-loss medicines;
- supplements or food products that are not registered or labelled as required by the Department of Food Technology and Quality Control (DFTQC), or products that fall under the Department of Drug Administration (DDA) that do not have the necessary approval;
- products without Nepali-compliant labelling where labelling is required;
- counterfeit or tampered goods, recalled products, or anything illegal to sell in Nepal.
Zyken decides whether a product is allowed. Selling a prohibited product is grounds for immediate suspension.
6. Pricing
- Prices are set by you in NPR and must include VAT where VAT applies. You may show a "compare at" price only if the product was genuinely sold at that price.
- The price on the order is the price the customer pays. You must honour it.
- Do not charge customers any extra fee outside Zyken.
7. Orders and fulfilment
- One shipment per vendor. Each order creates a shipment for your items. You update its status in the portal: Packed → Dispatched → In transit → Out for delivery → Delivered, or Delivery attempt failed (the courier tries again), Failed / Returned, with the time and a note where useful.
- Paid first. You can ship an order once it is paid. Cash-on-delivery orders can be shipped straight away.
- Dispatch time: pack and hand over each order to the courier within 2 business days of it becoming ready to ship (Saturday is not a business day). Tell the customer and Zyken promptly if there is any delay. Orders not dispatched in time, or not delivered within the delivery estimate for the customer's area plus 2 days, are flagged to you and to Zyken.
- Tracking: when you dispatch, choose the courier and enter its tracking code (or, for your own delivery, the rider's name and phone). Keep the status up to date. It is shown to the customer. You may add a proof-of-delivery photo.
- Packaging: pack products safely so they arrive undamaged and with seals intact.
- Cash on delivery: if your courier collects COD cash, it must be sent to Zyken within the time in your dashboard or agreement, so the order can be recorded as paid.
- Shipping fees: customers pay a delivery fee for each shipment, set by Zyken per delivery area and weight (shown at checkout; free when the order reaches Zyken's free-delivery amount). You may also offer free delivery on your own shipment above an amount you set in the portal. The fee is collected by Zyken. Delivery costs are handled as shown in your dashboard or agreement.
- Product weight: enter each product's packed weight so the delivery fee is right; without it, a default weight for the product type is used.
8. Returns, refunds and who pays
Customer returns and refunds follow the Refund & Cancellation Policy. You must accept returns and replacements that meet it.

When an order is refunded, the related sale and commission are reversed in your ledger, and the amount is deducted from your next payout.
9. Commission
- Zyken charges a commission on the value of your items in each order (excluding the shipping fee). The rate is as shown in your dashboard or partner agreement. Unless another rate has been agreed with you, the default rate is 10%.
- Commission is recorded when the order is paid (for online and bank-slip payments) or when it is delivered (for cash on delivery).
- We will give you at least 30 days' notice before increasing your commission rate.
10. Payouts
- On the 1st of each month, Zyken calculates your net balance for the previous month from your ledger (sales minus commission, refunds and adjustments) and creates a payout. We then transfer it to your verified payout account (bank, eSewa or Khalti) in the business's name, normally within 10 business days, and record the reference.
- Only your vendor's admins can see the payouts. If you change your payout account details, they must be verified again.
- We may hold amounts related to open disputes, suspected counterfeit or prohibited products, or likely refunds, and will tell you why.
11. Taxes and invoices
- You are responsible for your own taxes, including VAT and income tax, and for keeping a valid PAN/VAT registration.
- Where required by law, you must issue a valid tax invoice or bill for each sale to the customer. Zyken issues receipts for payments made through Zyken, which do not replace your tax invoice.
- Zyken's commission is a service fee to you. Zyken will issue an invoice for it where required, and may deduct tax at source where the law requires.
12. Product liability
You are responsible for the products you sell, including their safety, quality, authenticity, labelling, legal compliance and any harm they cause. You must cooperate with any product recall or withdrawal and tell Zyken immediately if you become aware of a safety issue. We recommend that you hold product liability insurance.
13. Indemnity
You agree to cover Zyken's reasonable losses, costs (including legal costs) and customer refunds arising from: your products; counterfeit, expired, prohibited or mislabelled goods; your breach of these terms or the law; or claims that your listings infringe someone's intellectual property rights. This does not apply to the extent the loss was caused by Zyken.
14. Customer data
You receive customers' names, delivery addresses, phone numbers and order details only to fulfil their orders. You must:
- use them only for delivery and order support;
- not add customers to marketing lists, contact them for unrelated purposes, or sell or share their data;
- keep the data secure and delete it when no longer needed for delivery, returns or legal records;
- follow Nepal's Individual Privacy Act, 2075 and tell Zyken immediately about any data breach.
15. Suspension and termination
- We may pause listings or suspend or close your vendor account for breaching these terms, selling prohibited or counterfeit products, repeated late or failed deliveries, high complaint or return rates, expired or invalid licences, or where required by law. Where reasonable, we will give notice and a chance to respond first. In serious cases we will act immediately.
- You may close your vendor account after fulfilling open orders and settling your balance.
- After termination, we pay what you are owed, minus refunds, chargebacks and amounts you owe Zyken. Sections on liability, indemnity, records and data protection continue to apply.
16. Changes and contact
We may update these Vendor Terms. For material changes we will notify your admins and ask you to accept the new version. Commission increases are subject to the notice in section 9. Questions: [email protected].
